Zylax reserves the right to suspend development, support, hosting or other services where payment is overdue.
Deposits or payments for work that has already commenced may be non-refundable, except where otherwise required by applicable law or agreed in writing.
6. Delivery
We will make reasonable efforts to complete projects within the estimated timeline provided.
Delivery dates may change due to client delays, changes in requirements, delayed approvals, third-party services, technical issues or circumstances beyond our reasonable control.
7. Client Responsibilities
Clients are responsible for providing accurate information, content, images, logos, documents, account access and other materials required for their project.
Clients are responsible for ensuring that materials provided to Zylax do not infringe copyright, trademark, privacy or other rights of third parties.
Delays in providing required information or approvals may result in delays to the project.
8. Intellectual Property
Unless otherwise agreed in writing, clients retain ownership of materials they provide to Zylax.
Upon full payment, the client will receive the rights to the agreed final deliverables as specified in the applicable quotation or agreement.
Zylax retains ownership of its pre-existing software, frameworks, reusable code, libraries, templates, tools, methodologies and know-how.
Third-party software, plugins, APIs, fonts, images and other materials remain subject to their respective licences and terms.
9. AI Services
Some Zylax services may use artificial intelligence (“AI”) and third-party AI technologies.
AI-generated results may occasionally be inaccurate, incomplete or unsuitable for a particular purpose.
Clients are responsible for reviewing and validating AI-generated content or results before relying on them for important decisions.
Zylax does not guarantee that AI systems will always produce accurate, uninterrupted or error-free results.
Third-party AI services may have their own fees, limitations, terms and privacy policies.
10. Third-Party Services
Our services may rely on third-party providers, including hosting companies, cloud platforms, payment gateways, AI providers, APIs, app stores, plugins and other technology providers.
Zylax is not responsible for interruptions, changes, failures, pricing changes or limitations caused by third-party services.
Additional work required due to changes made by third-party providers may be subject to additional charges.
11. CFM, Maintenance and Support
Where CFM, maintenance or support services are provided, the services included will depend on the selected package or agreement.
Unless specifically included, maintenance does not cover major redesigns, new features, new integrations or significant changes to the system.
12. Website and System Availability
We aim to keep our services reliable and available, but we do not guarantee uninterrupted or error-free operation.
Services may occasionally be unavailable due to maintenance, upgrades, technical problems, security incidents, hosting issues or circumstances beyond our reasonable control.
